Project Timing / Time of Completion

The anticipated start and completion dates are estimates unless this agreement expressly states otherwise. The schedule may be adjusted for approved changes, material lead times, inspections, permits, concealed conditions, weather, site access, owner decisions, subcontractor availability, or other circumstances that reasonably affect the work.

Delays and Events Outside Contractor Control

Contractor is not responsible for delay or additional cost caused by events outside Contractor’s reasonable control, including severe weather, emergencies, labor or material shortages, manufacturer delays, utility interruptions, permitting or inspection delays, unsafe conditions, owner-caused delays, concealed conditions, or work by others. Contractor is entitled to a reasonable schedule extension and may propose a change order for resulting added cost.

Change Orders

Work outside the original scope, including owner changes, upgrades, concealed conditions, code-required changes, additional preparation, material substitutions, or schedule changes, must be documented in a written change order. A change order may change the price, payment schedule, material lead time, and completion date. Contractor is not required to perform extra work until the change order is approved and required payment arrangements are made.

Permits, Inspections, and Concealed Conditions

Permit responsibility, fees, plan requirements, and inspections will be handled as stated in this agreement. Conditions that were concealed, inaccessible, unknown, or not reasonably discoverable before work began are not included unless expressly stated. Necessary investigation, correction, code upgrades, engineering, testing, remediation, or additional work may require a change order.

Insurance and Property Protection

Contractor will maintain insurance customarily required for the work where applicable. Owner is responsible for maintaining appropriate property insurance and for removing or protecting valuables and personal property from the work area. Insurance does not expand either party’s obligations beyond this agreement or applicable law.

Suspension and Termination

Contractor may suspend work for nonpayment, unsafe conditions, denied access, failure to make selections or approvals, or other material owner breach. Either party may terminate for material breach after written notice and a reasonable opportunity to cure when required. Owner remains responsible for completed work, approved changes, ordered materials, restocking charges, commitments, permits, mobilization, demobilization, and other costs incurred through termination.

Dispute Resolution

The parties will first attempt to resolve disputes through direct good-faith communication. If unresolved, the parties may use mediation, arbitration, or litigation as stated in this agreement and permitted by applicable law. Undisputed amounts remain due while a dispute is being addressed.

Payment Protection and Collection Rights

Contractor retains payment, collection, stop-work, lien, and bond rights available under applicable law. No waiver is effective unless it is written and signed by Contractor after cleared payment is received. Owner is responsible for approved work, materials, change orders, and other amounts due under this agreement.
