NOVA TERMS OF SERVICE

Effective Date: September 12, 2026

These Terms of Service (“Terms”) govern your access to and use of Nova, including the Nova website, applications, software, artificial intelligence features, TikTok integrations, LIVE experiences, games, viewer interactions, accounts, virtual rewards, and related services (collectively, the “Service”).

The Service is operated by [Company or Legal Business Name] (“Nova,” “we,” “us,” or “our”).

By accessing or using the Service, connecting a TikTok account, interacting with Nova through supported platforms, or otherwise participating in a Nova experience, you agree to these Terms.

If you do not agree to these Terms, do not use the Service.

1. ABOUT NOVA

Nova is an interactive artificial intelligence character and virtual creator designed to communicate, learn from interactions, participate in games and entertainment experiences, remember permitted information about returning participants, react to supported social-platform events, create content, and interact through an embodied virtual character.

Depending on the features available, Nova may interact through:

  • text;
  • speech;
  • animation and virtual body movement;
  • computer vision;
  • games and challenges;
  • LIVE broadcasts;
  • viewer comments;
  • audience voting;
  • achievements;
  • experience points;
  • Nova Coins;
  • social-platform events;
  • gifts and engagement events;
  • generated content; and
  • other interactive features.

Nova is an artificial intelligence system. Nova is not a human being, professional advisor, emergency service, or representative of TikTok.

2. TIKTOK INTEGRATION

Certain Nova features may integrate with TikTok through TikTok-approved developer tools, APIs, SDKs, authentication systems, or other authorized functionality.

Where authorized and permitted, the Service may use TikTok information or events necessary to provide features such as:

  • identifying participating users;
  • recognizing comments and LIVE interactions;
  • responding to supported viewer activity;
  • displaying usernames or public profile information;
  • recognizing permitted gift or engagement events;
  • supporting interactive games;
  • maintaining viewer participation records;
  • displaying scores, achievements, or leaderboards; and
  • providing other functionality described to users.

Nova is an independent service and is not owned, operated, sponsored, endorsed, or controlled by TikTok, unless expressly stated otherwise.

“TikTok” and related trademarks belong to their respective owners.

Your use of TikTok remains separately subject to TikTok’s own Terms of Service, Community Guidelines, Privacy Policy, Virtual Items Policy, LIVE policies, and any other applicable TikTok rules.

If TikTok restricts, modifies, suspends, or terminates functionality used by Nova, corresponding Nova features may also change or become unavailable.

3. COMPLIANCE WITH TIKTOK RULES

When interacting with Nova through TikTok, you must comply with all applicable TikTok policies.

You may not use Nova or its TikTok integration to:

  • violate TikTok’s Community Guidelines;
  • manipulate engagement artificially;
  • create spam or coordinated inauthentic activity;
  • harass, threaten, intimidate, or abuse others;
  • impersonate another person deceptively;
  • distribute illegal or prohibited content;
  • circumvent TikTok restrictions;
  • interfere with TikTok systems or security;
  • automate activity in a manner prohibited by TikTok;
  • obtain information you are not authorized to access;
  • misuse TikTok APIs or data; or
  • encourage Nova to perform prohibited activity.

We may restrict Nova features when necessary to maintain compliance with TikTok requirements.

4. AGE REQUIREMENTS

You must meet the minimum age required to use the Service under applicable law and the platform through which you access it.

You must also satisfy TikTok’s applicable age requirements when interacting through TikTok.

Some TikTok features, including certain Virtual Item, gifting, monetization, and LIVE features, may have higher age requirements.

Nova does not modify or override TikTok’s age restrictions.

If you are not legally permitted to use a particular feature, you may not use that feature through Nova.

5. ARTIFICIAL INTELLIGENCE DISCLOSURE

Nova uses artificial intelligence.

You understand that AI-generated responses may occasionally:

  • be inaccurate;
  • misunderstand a user;
  • misidentify context;
  • provide incomplete information;
  • make incorrect assumptions;
  • produce unexpected responses; or
  • generate information that should be independently verified.

Nova’s responses should not be relied upon as professional medical, legal, financial, mental health, emergency, or other licensed professional advice.

You remain responsible for decisions you make based on information provided by Nova.

6. LIVE INTERACTIONS

Nova may participate in LIVE broadcasts and may respond to viewer activity in real time.

LIVE interactions may include:

  • comments;
  • questions;
  • games;
  • competitions;
  • polls;
  • achievements;
  • challenges;
  • gift acknowledgments;
  • viewer recognition;
  • leaderboards;
  • conversation;
  • character animation; and
  • other entertainment features.

Participation does not guarantee that Nova will respond to every comment, viewer, gift, or action.

The Service may prioritize interactions using automated systems designed to manage timing, safety, relevance, conversation continuity, games, and LIVE performance.

7. GIFTS AND TIKTOK VIRTUAL ITEMS

TikTok Coins, Gifts, Diamonds, Points, and other TikTok Virtual Items are governed exclusively by TikTok’s applicable policies.

Nova does not sell TikTok Coins or Gifts.

Sending a TikTok Gift does not constitute a direct transfer of money or currency to Nova through this Service.

TikTok Gifts may trigger permitted entertainment responses from Nova, including:

  • verbal thanks;
  • character animations;
  • visual effects;
  • game events;
  • celebrations;
  • viewer recognition; or
  • other permitted LIVE reactions.

A Gift does not purchase ownership of Nova, control over Nova, guaranteed attention, guaranteed winnings, financial returns, or preferential treatment outside specifically disclosed entertainment mechanics.

Participation in Nova games must not require a TikTok Gift unless a particular activity is expressly permitted by TikTok and applicable law.

Nova may provide free methods of participation where appropriate.

8. NOVA COINS, XP, ACHIEVEMENTS, AND DIGITAL REWARDS

The Service may provide internal entertainment systems including:

  • Nova Coins;
  • XP;
  • levels;
  • titles;
  • achievements;
  • badges;
  • streaks;
  • rankings;
  • game records; and
  • other digital status or reward systems.

These are collectively called “Nova Rewards.”

Nova Rewards:

  • have no cash value;
  • are not cryptocurrency;
  • are not legal tender;
  • are not TikTok Coins;
  • are not TikTok Gifts;
  • are not TikTok Diamonds;
  • cannot be exchanged for TikTok Virtual Items;
  • cannot be redeemed for cash unless we expressly establish a lawful separate program;
  • cannot ordinarily be sold or transferred between users;
  • do not represent ownership, equity, securities, or financial rights; and
  • may be modified, reset, suspended, or discontinued as necessary.

Nova Rewards are intended for entertainment, progression, recognition, and participation within Nova.

We may correct Nova Reward balances affected by software errors, abuse, cheating, duplication, or unauthorized manipulation.

9. GAMES AND COMPETITIONS

Nova may host games, trivia, challenges, voting activities, competitions, and similar entertainment.

Unless separately stated otherwise:

  • games are for entertainment;
  • participation does not require payment;
  • Nova Rewards have no cash value;
  • winners are determined according to the rules of the applicable game;
  • automated systems may determine answers, timing, scores, or winners;
  • technical failures may require a round to be restarted or invalidated; and
  • cheating, automation, multiple-account abuse, or exploitation may result in disqualification.

Where a separate contest or promotion offers prizes with real-world value, separate official rules may apply.

10. VIEWER PROFILES AND GAME HISTORY

Nova may maintain permitted information necessary to create continuing interactive experiences.

This may include:

  • display name;
  • platform username or identifier;
  • XP;
  • Nova Coins;
  • achievements;
  • game history;
  • wins and losses;
  • titles;
  • interaction history;
  • preferences voluntarily shared with Nova; and
  • relationship or participation information used to improve future interactions.

The types of data collected and how they are processed are described more fully in our Privacy Policy.

11. MEMORY FEATURES

Nova may use memory features designed to make future interactions more personalized.

For example, Nova may remember that a returning participant:

  • previously played a game;
  • earned an achievement;
  • won a competition;
  • taught Nova something;
  • participated in a past conversation; or
  • expressed a preference.

Memory features are intended to improve continuity and entertainment.

We may limit, modify, correct, or delete stored memory where required for safety, privacy, legal compliance, data minimization, or system maintenance.

12. ACCEPTABLE USE

You agree not to use the Service to:

  • violate any law;
  • harm or threaten another person;
  • sexually exploit or endanger minors;
  • promote terrorism or violent extremism;
  • distribute malware;
  • attempt unauthorized access to systems;
  • expose private or confidential information;
  • engage in fraud;
  • impersonate another person for deceptive purposes;
  • manipulate Nova’s systems;
  • evade moderation;
  • manipulate scores or rewards;
  • exploit bugs;
  • interfere with other participants;
  • send automated spam;
  • scrape data without authorization;
  • reverse engineer protected portions of the Service except where legally permitted;
  • circumvent usage restrictions;
  • interfere with platform APIs;
  • encourage Nova to violate third-party platform rules; or
  • use Nova for unlawful surveillance.

We may restrict or terminate access for violations.

13. USER CONTENT

You may provide text, comments, images, audio, video, instructions, prompts, or other material to the Service (“User Content”).

You retain ownership of rights you hold in your User Content.

You grant us a limited license to process, display, transform, transmit, and otherwise use User Content as reasonably necessary to:

  • provide the requested Service;
  • operate interactive experiences;
  • maintain functionality;
  • create requested outputs;
  • moderate content;
  • protect the Service;
  • investigate abuse; and
  • comply with law.

This license does not give us ownership of your User Content.

You represent that you have the right to provide User Content and that its use through the Service will not unlawfully violate another person’s rights.

14. CONTENT CREATED WITH NOVA

Nova may create or assist in creating:

  • text;
  • images;
  • videos;
  • animations;
  • game content;
  • character dialogue;
  • graphics;
  • audio;
  • scripts;
  • ideas; and
  • other content.

AI-generated material may not always be unique.

Similar or identical outputs may be generated for different users.

You are responsible for reviewing generated material before publishing or relying upon it.

15. INTELLECTUAL PROPERTY

Nova’s software, branding, character design, interfaces, original graphics, systems, code, audiovisual materials, and other proprietary content are protected by applicable intellectual property laws.

Except as permitted by these Terms, you may not copy, distribute, sell, license, modify, or exploit Nova’s proprietary materials without authorization.

Third-party materials remain the property of their respective owners.

16. MUSIC AND THIRD-PARTY MEDIA

Music, images, video, trademarks, and other third-party material may be subject to separate licenses and restrictions.

Use of content on TikTok may additionally be governed by TikTok’s Music Terms, Commercial Music Library Terms, Intellectual Property Policy, Branded Content Policy, or other applicable rules.

Users are responsible for obtaining any rights required for content they independently upload or publish.

17. PRIVACY AND DATA PROTECTION

We will process personal information in accordance with our Privacy Policy and applicable law.

We seek to limit TikTok data access to information reasonably necessary to provide approved Nova functionality.

We do not claim ownership of TikTok user data.

We will not intentionally sell TikTok user data or disclose personally identifiable TikTok information to unrelated third parties except with appropriate authorization or where legally required.

We may use service providers that process information on our behalf where reasonably necessary to operate the Service and subject to appropriate safeguards.

18. ACCOUNT AND DATA SECURITY

Users must not attempt to obtain another user’s authentication credentials, access tokens, private data, or account information.

We use reasonable technical and organizational measures designed to protect information processed through the Service.

However, no networked system can guarantee absolute security.

Please contact us promptly if you believe your account or information has been compromised.

19. THIRD-PARTY SERVICES

Nova may interact with third-party services, APIs, software, AI providers, streaming software, social networks, or content providers.

Third-party services are governed by their own terms and policies.

We are not responsible for independent third-party services or for changes, outages, restrictions, suspension, termination, or data practices controlled by those providers.

20. SERVICE AVAILABILITY

Nova is under active development.

Features may change over time.

We may:

  • add features;
  • modify features;
  • remove features;
  • temporarily suspend features;
  • perform maintenance;
  • modify game systems;
  • update AI systems; or
  • respond to third-party platform changes.

We do not guarantee uninterrupted availability.

21. MODERATION AND SAFETY

We may use automated systems and human review to detect:

  • harassment;
  • abuse;
  • spam;
  • harmful content;
  • cheating;
  • fraud;
  • security threats;
  • violations of these Terms; or
  • violations of applicable platform policies.

We may remove content, ignore interactions, restrict features, suspend participation, reset improperly obtained rewards, or block users when reasonably necessary.

22. SUSPENSION OR TERMINATION

We may suspend or terminate access to the Service when reasonably necessary because of:

  • violation of these Terms;
  • violation of applicable law;
  • violation of TikTok policies;
  • fraud or abuse;
  • security threats;
  • attempts to compromise the Service;
  • repeated harassment;
  • cheating;
  • platform restrictions; or
  • discontinuation of the Service.

TikTok may independently restrict or terminate TikTok accounts or TikTok developer integrations under TikTok’s own rules.

23. FEEDBACK

If you voluntarily provide suggestions, feature requests, or feedback about Nova, you grant us permission to use that feedback to improve the Service without obligation to compensate you.

This does not transfer ownership of unrelated intellectual property you provide.

24. DISCLAIMERS

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE EXTENT PERMITTED BY LAW.

WE DO NOT GUARANTEE THAT:

  • NOVA WILL ALWAYS RESPOND CORRECTLY;
  • AI OUTPUTS WILL ALWAYS BE ACCURATE;
  • THE SERVICE WILL ALWAYS BE AVAILABLE;
  • THIRD-PARTY INTEGRATIONS WILL REMAIN AVAILABLE;
  • GAMES WILL NEVER EXPERIENCE TECHNICAL ERRORS; OR
  • GENERATED CONTENT WILL ALWAYS BE SUITABLE FOR EVERY PURPOSE.

Nothing in these Terms excludes rights that cannot legally be excluded.

25. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, [COMPANY OR LEGAL BUSINESS NAME] AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SERVICE.

Any limitation applies only to the extent permitted by applicable law.

26. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless [COMPANY OR LEGAL BUSINESS NAME] from claims, liabilities, losses, and reasonable expenses resulting from:

  • your unlawful use of the Service;
  • your violation of these Terms;
  • your violation of another person’s rights; or

These Terms are governed by the laws of the State of Oregon and applicable United States federal law, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.

Any dispute not subject to another legally required procedure will be handled by a court of competent jurisdiction in Oregon, unless applicable law provides otherwise.

28. CHANGES TO THESE TERMS

We may update these Terms to reflect:

  • changes to the Service;
  • new features;
  • legal requirements;
  • security requirements;
  • TikTok policy changes;
  • other third-party platform requirements; or
  • operational changes.

When appropriate, we will update the effective date and provide additional notice of material changes.

Continued use after updated Terms become effective constitutes acceptance where permitted by law.

29. SEVERABILITY

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

30. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any feature-specific terms or rules presented to you, constitute the agreement governing your use of Nova.
